Infinity Fund has many structures which we use to provide funding and debt resolution to public companies. Below, you will find specific information on several of our more common structures.
Our Balance Sheet Fund allows public companies to satisfy trade payables, debt and other liabilities in exchange for unregistered common stock. This substantially reduces the transaction costs and time necessary to complete financing.
We will pay a company’s creditors in cash, dollar for dollar, in exchange for an assignment of their accounts, and then agree with the Company to satisfy its' payables for common stock. No registration statement is required, and there are no registration rights.
Issuers benefit by converting short and long-term debt to equity. This allows companies to free up their cash reserves for growth and operations.
These transactions are most typically used to pay off outstanding accounts payable owed to service providers such as lawyers, accountants, landlords and investor relations firms, as well as products suppliers, manufacturers, equipment dealers and other key vendors. We can also repay promissory notes, debentures and outstanding loan balances.
If a company is cash constrained and managing outgoing cash flow, our fund can renew and strengthen vendor relationships. Infinity takes guidance from the company on payment terms and priority, and which creditors are best suited for the program.
In our experience, the program works equally well for current accounts. In addition to standard and customary due diligence, the Balance Sheet Fund has specific protocols and procedures to ensure full compliance with applicable laws. Requirements vary depending on the nature and age of the obligations, the reporting status of the issuer, affiliate relationships and insider status. This type of transaction requires specific expertise to ensure compliance with all regulatory requirements.
Coupled with the balance sheet fund, we fund acquisitions utilizing the same process that we use for the balance sheet fund. We will facilitate the acquisition of projects ranging from $1,000,000 to $100,000,000. Infinity Fund will finance the acquisition and provide feedback and advice on the financial strength of the acquisition and its’ forward looking affect on the public company.
Infinity Fund equity investments may be in the form of a registered direct (RD), shelf takedown, or private placement PIPE (private investment in public equity), with or without any resale registration rights.
This program, dependent upon the industry, is used and coupled with an equity investment or convertible debt investment into the Company. It is typically used to continue the fulfillment of the capital needs of the company without placing the liability on the stock of the Company. Within certain industries, the capital needs of a company far exceed their stocks ability to sustain the need without harming or over-diluting the shareholder base. Because of this, we have devised a strategy that will bring the company the capital, strengthen its position in the industry, without the massive dilution.
This is evaluated on a case by case basis.
We assist shareholders to become more liquid by professionally managing their portfolio. We manage the trading of the shares under one of our trust instruments or the hedge fund. In this management, we are the traders. We do not have the trading managed outside of our group. Infinity Fund has over 25 years of trading experience and we pride ourselves on responsible trading that does not negatively affect the public company while still meeting the needs of its’ shareholders.

Infinity does not invest in private companies at this time or in companies that are publicly reporting but do not have a ticker or have filed their 15c211 with a Market Maker. Infinity will finance companies trading on virtually any stock exchange or over-the-counter securities market worldwide.
